Thank you for your interest in the role of Trustee and Chair of Finance and Audit
Committee at Dulwich Picture Gallery. We are delighted you are considering joining
us and you will be doing so at a pivotal point for the Gallery with several exciting and
important new projects on the horizon.

Dulwich Picture Gallery, founded in 1811, is the world’s first purpose-built public a t
gallery. We care for and display our outstanding collection of Old Master paintings
within Sir John Soane’s pioneering architecture. As an independent Gallery, we
remain true to our founders’ purpose of presenting art ‘for the inspection of the
publick’ while engaging as many people as possible, of all ages and backgrounds,
through our creative programme.

We are engaged in a continuous process of planning, delivery, evaluation and
development in order to unlock the Gallery’s unique potential: our location, art and
people. Our mission is underpinned by our vision to secure the Gallery’s future as a
welcoming, vibrant hub where you - everybody - can Find Yourself in Art.

I joined as Chair seven years ago and appointed our Director, Jennifer Scott, in April
2017. My term as Chair will come to an end next year. I am proud to say we have
a strong and comprehensive range of skills on our Board, and individuals who are
highly committed to enabling the Gallery to flourish and ensu e more people have
the opportunity to engage with our collection and programme. We work closely and
collaboratively with our energetic and forward-thinking leadership team and we seek
individuals who are collegiate and team oriented

We are now looking for four new Trustees. One of these Trustees will also Chair our
Finance and Audit Committee, for this role we are looking for an individual with a
strong charity accounting background. We welcome applications from people from
all sections of the community and would like to encourage applicants from the Global
Majority as they are currently under-represented at Board level.

ABOUT DULWICH PICTURE GALLERY

Who We Are:

Dulwich Picture Gallery, founded in 1811, is the world’s first purpose-built
public art Gallery. We care for and display our outstanding collection of
Old Master paintings within Sir John Soane’s pioneering architecture. As an
independent Gallery, we remain true to our founders’ purpose of presenting art
‘for the inspection of the publick’ by engaging as many people as possible, of
all ages and backgrounds, through our innovative interpretation and dynamic
programme.

Today the Gallery is a vibrant cultural hub hosting some of the UK’s leading
exhibitions alongside its collection of Baroque masterpieces. Against this
unique backdrop it stages a wide-ranging programme of public events,
practical art and community engagement.

We receive no regular public funding and to help our creative work to
continue we raise a large proportion of our income through fundraising. This
encompasses regular support through our Friends and Patrons schemes as
well as funding from trusts and foundations, individual giving and corporate
support. With a recently appointed new Head of Development we are
spearheading a new fundraising strategy which will be vital in helping us realise
our future plans.

Our team:

Jennifer Scott, Director
Jennifer Scott has been the Director of Dulwich Picture Gallery since April 2017,
and in that time has led the Gallery in exciting new directions, establishing a
fresh and inclusive vision for the future. Jennifer was formerly Director of the
Holburne Museum, Bath, and Curator of Paintings at Royal Collection Trust
having previously worked in the curatorial departments of the National Gallery,
London and National Museums Liverpool. She is a Chair of AFC Wimbledon
Foundation, Governor of Alleyn’s School, Member of the Masterpiece Art
Fair Appeals Committee, Fellow of the Society of Antiquaries and a Fellow
Commoner of Lucy Cavendish College, University of Cambridge.

Chantelle Culshaw, Deputy Director
Chantelle Culshaw became Deputy Director in 2018 having joined the Gallery
in 2014 as Director of Development. She was previously Development Director
at the Donmar Warehouse and the Royal Exchange Theatre and worked in the
Development team at The Lowry. She is Chair of the Christina Smith Foundation.

Dulwich Picture Gallery has a Senior Leadership Team of 7 Heads of Departments:
Commercial; Communications; Curatorial; Development; Finance; Operations;
Programme & Engagement.

Dulwich Picture Gallery has a team of around 80 staff and 200 volunteers.

ROLE DESCRIPTION

Overall responsibility:

Chair the Finance and Audit Committee, which meets quarterly ahead of the
Trustees meeting.

Work as a member of the Board to contribute experience, expertise and
insight and to add value to strategic development and governance of Dulwich
Picture Gallery to ensure that it continues to be a dynamic, robust and
sustainable organisation and remains true to its vision:

To help Dulwich Picture Gallery be an inspirational cultural destination for
everybody – unlocking fresh perspectives through the art of the past and
present.

KEY RESPONSIBILITIES

Dulwich Picture Gallery is a corporate entity. The Trustees are all non-executive
directors of the company.

For Chair of Finance and Audit Committee:

  • Chair the FAC meetings quarterly and report back to the Trustees
  • Review and give feedback on financial policies in detail and then recommend
to Trustees for approval
  • Be the Trustee representative with the Auditors and approve the Statutory
Accounts.
  • Guide the Trustees through the finances of the Gallery
  • Support the Head of Finance in financial matters

ALL OUR TRUSTEES:

  • Are committed to Dulwich Picture Gallery and act in its interests at all times,
safeguarding our reputation and values and ensuring that we pursue and
deliver our charitable objects and purpose;
  • Have an understanding of the legal and regulatory duties of Trustees and
ensure that Dulwich Picture Gallery complies with its Articles of Association,
charity law, company law and any other relevant legislation and regulation;
  • Maintain an awareness of our organisation and the environment in which we
operate and contribute to our continuing development;
  • Bring positive, independent judgement and the ability to think creatively and
to constructively challenge while securing the continued sustainability of our
charity;
  • Work effectively as a member of the Board and recognise, respect and
welcome diverse, different and, at times, conflicting views of colleagues;
  • Use their specialist knowledge and skills to add value to Dulwich Picture
Gallery’s work and to help to build and grow partnerships and relationships;
  • Act as ambassadors for Dulwich Picture Gallery to promote its work and
support the development of key relationships;
  • Prepare for, attend and participate actively in Board and subcommittee
meetings and in support of allocated lead roles, working groups or other
governance functions;
  • Take responsibility for their own learning and development and participate
in the development of the Board as a whole;
  • Maintain the respect of beneficiaries, other stakeholders and the public by
behaving with integrity and in line with Dulwich Picture Gallery’s values;
  • Will maintain confidentiality about any sensitive and confidential information
received as a Trustee.

A Trustee has the following legal obligations that should be
understood and complied with:

a. To act rationally, sensibly, carefully and with proper advice in financial
and other matters, ensuring that assets are not misused but applied to the
charitable objects of Dulwich Picture Gallery and that investments are handled
properly.

b. Not to enter into financial commitment unless reasonably sure that Dulwich
Picture Gallery will have adequate funds to meet any payments due.

c. Not to benefit personally, either directly or indirectly, except in the strictly
limited and defined ways that are laid out in the Memorandum and Articles of
Association. e.g. reasonable and proper out-of-pocket expenses.

d. Not to make a profit out of the position of trust or to be in a position where
the duties and responsibilities as a Trustee might conflict with personal
interests.

e. Not to charge for time, trouble or expertise in administering the work of the
Dulwich Picture Gallery, nor to derive any benefit from it.

PERSON SPECIFICATION

Essential:

  • Audit and financial skills, particularly with experience of charity finance
  • Understands and is committed to the culture, ethos and purpose of Dulwich
Picture Gallery;
  • Experience of successfully working in a leadership or governance role;
  • Experience of successfully dealing with strategic issues, interpreting complex
information and business planning;
  • Experience of acting as a credible ambassador for an organisation and able

to make connections with other organisations, communities and funders to
enable Dulwich Picture Gallery to achieve its objectives;

  • We welcome applications from people from all sections of the community.
We would like to encourage applicants from the Global Majority as they are
currently under-represented at Board level.

We are particularly looking for Trustees who will bring experience/skills in one
or more of the following areas:

  • Audit and financial skills, particularly with experience of charity finance
  • Property, construction and planning experience
  • Commercial skills
  • High net worth with experience of fundraising
  • Excellent communication and listening skills – able to communicate concepts
and issues effectively;
  • Able to self-manage effectively to fulfil the requirements of this role;
  • Is able to commit, flexibly, the time and attention to learn about and

contribute to Dulwich Picture Gallery’s work.

TRUSTEE TERMS AND CONDITIONS

Time Commitment

The standard role of a Trustee will require a time commitment of approximately
12 days per annum for individuals who do not take on committee chairmanship
or officer (Vice-Chair/Treasurer) roles.

This would include:

  • 4 Board meetings per annum
  • 1 strategy day per annum
  • 4 Sub-Committee meetings per annum. Sub-Committees include:
  • Finance and Audit Committee
  • Nominations Committee
  • Collection and Programme Advisory Committee
  • Future Plan Advisory Group
  • Mentoring and support of the Directorate and Senior Leadership Team and
adhoc working groups where necessary
  • Preparation for meetings including reading time for all papers
  • Contact with the Chair, other Trustees and Directorate outside of meetings,

including Board development and appraisal, participating in induction and
regular training

  • Annual Board Development/Strategy Review Day
  • Trustees are invited to carry out formal and informal engagements in support

of the Gallery

For those who have committee chairmanship/of�cer (Vice-Chair/Treasurer)
roles there would be an additional time commitment of approximately an
additional day each quarter, i.e. a total of approximately 14 days a year, for
example supporting audits, or meeting lead executive team members.

Term of office

Trustees are appointed for a first term of 5 y ars. After this, they may be
re-elected by the Board for a second term of 3 years.
