Due to Parental Leave, we have an amazing opportunity for an Assistant Company Secretary to join us on a 12 month Fixed Term Contract.
You will be joining a small team of dedicated Corporate Governance professionals whose responsibilities include facilitating good decision making across the business. You will be working closely with our Deputy Company Secretary & Senior Company Secretaries providing advice and support to our Board and Committees.
Who we are looking for:
A credible person that can work autonomously, with diplomacy, tact and trust. An inquisitive person, that is comfortable asking questions, building lasting relationships and has outstanding organisational capabilities with a logical and tenacious approach to work.
Responsibilities:
Governance Support and Guidance
- Providing support and advice to the business in a Company Secretarial capacity.
- Coordinating the company secretarial and governance support provided to the Group’s material subsidiaries including full board/committee support activities and minute writing.
- Assisting with training and induction of new directors
Regulatory/Company Law Compliance
- Assisting with compliance with applicable legislation, regulations and governance guidelines
- Coordinating the implementation of changes required to meet new requirements
Shareholder/Investor Relations and Support
- Taking a lead role in the organisation of the PLC Annual General Meeting
- Researching/drafting relevant sections of Annual Report and Accounts for Group companies
- Working with the Deputy Company Secretary to manage the day-to-day interaction with the Group’s registrar (and other third-party suppliers)
- Managing projects that relate to Shareholder engagement when initiated (for example, the repatriation of unclaimed dividends and shareholder tracing)
Special Requirements:
In order to be successful for this role we do require demonstrable experience of providing support to boards and committees including excellent minute taking and written skills.
Operating and experience of working in a financial services or listed plc environment is desirable, but not essential
Evidence and knowledge of the below will also hold a distinct advantage
- Qualified/or part qualified or working towards the Chartered Governance qualification
- Providing support to Boards and Board committees of a large company/ financial services company or listed UK PLC
- Intermediate proficiency in Microsoft Software (Excel/Outlook/PowerPoint/Teams)
